Welcome to the Dyson Foundation (the “Foundation” or “Our” or We”) Website. The Foundation’s website (the “Website”) provides information about our organization, our finances, our grantmaking policies and procedures, and instructions for submitting and monitoring grant applications. Our Website also contains a list of third-party resources that nonprofits might find useful. Please read these Terms of Use carefully before using our Website.
Acceptance of Terms: By accessing or using the Website, you agree to be bound by these Terms of Use and all applicable laws and regulations. If you object to any part of these Terms of Use, you must immediately discontinue use of the Website.
Changes to Terms: We reserve the right to modify or revise these Terms of Use at any time without notice. Any changes will be effective immediately upon posting. Your continued use of the Website following the posting of any changes constitutes your acceptance of those changes.
Eligible Users: This Website is offered and available to users who are 13 years of age or older. By using the Website, you represent and warrant that you have the right, authority, and capacity to consent to this policy. You may not use the Website in a manner that violates any local, state, national, foreign, or international statute. You may not interfere with the functioning of the Website or with other users’ use of the Website in any way, including but not limited to modification of the Website; attempting to gain access to unauthorized portions of the Website; enabling high volume, automated, electronic processes that apply to the Website or its systems, the content of the Website or any portion of derivative thereof; or attempting to gain access to other accounts, computer systems, or networks connected to the Website, whether through hacking, password mining, or any other means. User Content and Submissions: You may provide comments, photographs, images, text or other information or materials which may be posted in public areas of the Website or transmitted to other third parties, including without limitation to third party websites and services such as social media services that are linked or integrated into the Website (“User Content”). You may further submit to the Foundation, for purposes including without limitation, seeking grant funding and responding to a request for proposal, documents, communications and other information and materials (“Submissions”). You understand that you are posting such User Content and Submissions at your own risk. Any User Content or Submissions sent to the Foundation will be deemed not to be confidential. By sending the Foundation User Content or Submissions, you grant the Foundation an unrestricted, irrevocable, and fully paid-up, worldwide, royalty-free, sublicensable, non-exclusive, perpetual license to use, copy, reproduce, publish, upload, post, transmit, distribute, publicly display, perform, modify, create derivative works from, and otherwise freely use those materials or information. You also agree that the Foundation is free to use any ideas, concepts, know-how, or techniques that you send us for any purpose, without compensation of any sort. However, We will not release your name or otherwise publicize the fact that you submitted materials or other information to us unless: (a) We obtain your permission to use your name; (b) We first notify you that the materials or other information you submit to a particular part of the Website will be published or otherwise used with your name on it; or (c) We are required to do so by law.
You acknowledge and agree that any User Content or Submissions (i) do not infringe or violate the intellectual property rights or confidentiality rights of any third party; and (ii) the Foundation is not under any obligations of conditionality with respect to any User Content or Submissions; and (iii) you are not entitled to any compensation or funding from the Foundation for any Submission. You may not post or submit any unlawful, threatening, defamatory, libelous, obscene, or offensive material or otherwise violate any law. The Foundation may reject any User Content or Submissions in which the Foundation believes, in its sole discretion, that any such activities have occurred. The Foundation reserves the right, but is not obligated, to monitor User Content or Submissions or other materials posted on the Website. In addition to any remedies that the Foundation may have at law or in equity, if the Foundation determines, in its sole discretion, that you have violated or are likely to violate the foregoing prohibitions, the Foundation may take any action it deems necessary to cure or prevent the violation, including, without limitation, the immediate removal of the related materials from this Website. The Foundation will fully cooperate with any law enforcement authorities or court order or subpoena requesting or directing us to disclose the identity of anyone posting such materials.

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. By using the Website, you expressly relieve the Foundation from any and all liability arising from your use of any third-party website.

Governing Law: These Terms of Use are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Dutchess County, New York for the resolution of any disputes.
